Job Description:

  • This role within the Xerox Office of General Counsel (OGC) is responsible for managing certain aspects of corporate governance compliance for the Company and its subsidiaries. The position reports to the Assistant Secretary and would primarily support the Chief Legal Officer & Corporate Secretary and the Assistant Secretary. 
  • This is a hybrid position; to begin, the incumbent is expected to work from Xerox offices in Norwalk or Webster at least 3 days per week. 
  • The position involves the exercise of discretion and independent judgment to carry out a variety of corporate governance responsibilities, processes, and projects. OGC is responsible for maintaining robust and efficient corporate governance processes. The role will support legal entity management, corporate filings, law firm management, project management, and various other tasks related to OGC’s support of finance, treasury, investor relations, and other functions as well as OGC’s maintenance of robust and efficient corporate governance processes.     
  • Attention to detail, self-motivation, accountability, and a keen sense of task ownership will be critical to the success of the role. The role will require significant organizational and time-management skills. The role will work together with the OGC team and the wider business but will be expected to thrive with a high degree of autonomy: Xerox is looking for an issue spotter and a problem solver.          


Key Responsibilities 


  • Legal entity management: 
  • Support Secretary and Assistant Secretary 
  • Prepare resolutions and related documents 
  • Review/interpret organizational documents 
  • Corporate recordkeeping 
  • Prepare and review powers of attorney 
  • Manage CSC/CT Corp.  
  • File annual reports 
  • Manage state business qualifications 
  • Review DBA/FKA submissions 
  • Prepare signatures/notarization 
  • Law firm management 
  • Review engagement letters 
  • Review legal invoices 
  • Assist with various filings (e.g. proxy statement, Forms 4, etc.)  
  • Conduct legal research 
  • Project management 
  • Various other tasks in furtherance of OGC’s support of finance, treasury, investor relations, and other functions as needed.



Qualifications 

  • Bachelor’s degree or equivalent education 
  • Excellent organizational skills, attention to detail, strong work ethic, and sense of ownership of responsibilities 
  • The role will be involved in high-visibility work – precision and accuracy are critical.  
  • Excellent technology skills, including an eagerness to learn and manage new tools and platforms (fluency in Microsoft Word, Excel and PowerPoint are required; any experience with corporate governance platforms is a plus) 
  • Demonstrated history of self-motivation, working independently on projects, and juggling multiple priorities 
  • Ability to follow through, meet deadlines, maintain confidentiality, anticipate requirements, and build relationships 
  • Professionally appropriate interpersonal and communication skills (oral and written) 
  • Excellent professional ethics, integrity, and judgement 
  • Experience with corporate governance matters, securities filings and/or corporate record keeping is preferred but not required.
